MFI AI Gateway Licence Agreement

Last updated 16 October 2026

This agreement sets out how you may install and use MFI AI Gateway. You accept it when you install the software or enter a licence key.

1. This agreement

This agreement is between you and MAGCODE LTD (“we”, “us”). In it, the “Software” means MFI AI Gateway, including its installer, binaries, admin panel, documentation and the updates we publish. A “licence key” is a key you buy from us to activate the Software.

The Software is licensed to you, not sold. Our Terms of Service also apply.

2. What you may do

While you have an active licence key, you may:

  • install and run the Software on one server at a time;
  • use it for yourself and your organisation, and let the people and applications you choose use your gateway through gateway keys you issue;
  • keep backups of your installation and its configuration.

3. The licence period

  • Each licence key gives you 30 days of use.
  • The 30 days start when the key is first activated, not when you buy it.
  • When the period ends, the gateway refuses API requests with a licence error that says the licence has expired. The admin panel and health checks keep running.
  • To keep using the gateway, buy a new key and enter it. Each key is a separate one-time purchase. Keys don't renew automatically and there is no subscription.

4. One active server

A key can be active on one server at a time. If you enter it on a new server, that server becomes the active installation, and the previous one stops serving after its next licence check. Moving a key doesn't restart its 30 days.

5. Licence checks

The Software contacts our licence server to activate a key and to check it while it runs, so the server needs to be able to reach our licence server. Each check sends:

  • licence and activation IDs;
  • your server's public key fingerprint;
  • the gateway version and platform;
  • installation integrity signals used to detect licence misuse.

Our licence server also records the IP address and time of each check. The Software never sends us your prompts or responses, your provider keys or account logins, your users or their gateway keys, or your licence key in plain text. More detail is in our Privacy Policy.

6. Updates and integrity

  • We publish signed releases. You can install updates from the admin panel or the command line. Updates are covered by this agreement.
  • Before installing or updating, the installer checks the release signature, the archive's SHA-256 and its size, and refuses anything that has been altered.
  • At start-up, the Software compares its own binaries against the signed manifest that came with the release. If the check fails, the Software may refuse to start.

7. What you may not do

You may not:

  • share, sell, rent, sublicense or publish the Software or your licence keys;
  • run one key on more than one server at the same time, or try to;
  • remove, bypass, disable or interfere with licence checks, release signatures, integrity checks or any other protection in the Software;
  • modify, decompile or reverse engineer the Software, except where the law allows it despite this restriction;
  • use the Software in breach of our Acceptable Use Policy.

8. Your providers and your data

  • The Software includes no AI model access. You add your own connections, and each provider's terms govern how that connection is used. You're responsible for following them, including when you use Account Sign-In Connections with a personal plan.
  • We aren't responsible for providers' decisions about your accounts, or for their availability. Failover can only use the connections you've added.
  • Your prompts, responses, provider keys, users, gateway keys and usage data stay on your server. You're responsible for that server, its security and backups, and for the personal data you process on it.

9. Third-party software

The installer sets up PostgreSQL, Redis, Nginx, a Let's Encrypt certificate client and UFW. These are separate programs provided under their own licences, and this agreement doesn't cover them.

10. Our promise about the Software

The Software will match its description on its product page in all material respects. If it doesn't, tell us and we'll try to fix it. If you're a consumer, you also have rights under the Consumer Rights Act 2015, such as repair or replacement and, in some cases, a price reduction or refund. See our Refund Policy.

If you're a business customer, to the extent the law allows, we give no other warranties about the Software.

11. Liability

Our liability is set out in section 13 of the Terms of Service.

12. Ending this agreement

  • You can stop using and uninstall the Software at any time.
  • We may revoke your licence keys if you seriously break section 7. If we do, you must stop using the Software.

13. Law

This agreement is governed by the law of England and Wales, as described in section 15 of the Terms of Service.
